BRANDASSET® VALUATOR ACCESS
ACKNOWLEDGMENT AND AGREEMENT
In consideration of Young & Rubicam Inc.'s ("Y&R") consent to allow me access to, use or consumption of Y&R's BrandAsset® Valuator database, retrieval system or any deliverables resulting therefrom, I agree not to disclose or communicate the database, retrieval system, analyses or any other deliverable resulting therefrom or pertaining thereto, or any portion thereof (hereinafter, "the BAV Confidential Information") and promise to take all reasonable precaution to prevent its unauthorized dissemination at any time, whether during my use or license of BAV access, or thereafter. I agree to limit disclosure of the BAV Confidential Information to only those employees or permitted licensees of the Young & Rubicam Group of Companies who have a need to know the information and who have similarly agreed in writing to keep such BAV Confidential Information confidential, and to no other person or entity. For the avoidance of doubt, other persons or entities to whom I may not provide BAV Confidential Information include, but are not limited to partners, joint ventures, vendors, licensees or clients of Y&R or any of the Young & Rubicam Group of Companies, unless specifically permitted to receive such information by the Chief Executive Officer of Young & Rubicam Inc. or his designee.
I agree not to use any BAV Confidential Information for my own benefit or for the benefit of anyone other than a company in the Young & Rubicam Group of Companies or its designated clients who have been authorized to receive such BAV Confidential Information. I acknowledge that all BAV Confidential Information is and remains the property of Young & Rubicam Inc. and that no license or rights to the BAV Confidential Information has been or is granted to me specifically.
